Welcome to TRIVARTHA ("the App", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the TRIVARTHA mobile and web application, including any related software, services, features, content, and documentation (collectively, the "Service"). By downloading, installing, or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
1. Eligibility and Account Registration
You must be at least 18 years old and authorized to use TRIVARTHA as a Relationship Manager, sales professional, or authorised field representative. When creating an account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update such information to keep it accurate.
- Keep your login credentials (username, password, biometric keys) confidential.
- Accept responsibility for all activities that occur under your account.
- Notify us immediately of any unauthorized use or security breach.
We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
2. License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download, install, and use the TRIVARTHA mobile application on devices you own or control.
- Access and use the Service for legitimate sales, leads, customer-relationship and field-visiting activities.
You may not sublicense, resell, lease, rent, or otherwise commercially exploit the Service without our prior written consent.
3. Customer Data and Confidential Information
TRIVARTHA is designed to help you manage customer relationships, leads, visits, calls, and tasks. You acknowledge that:
- All customer, lead, and contact information entered into the App is confidential and subject to applicable data-protection and privacy laws (including but not limited to the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, and any successor legislation).
- You will collect, enter, and process such data only as permitted by your employer/organization and applicable law.
- You will not copy, export, transmit, or share customer data outside the App except as expressly authorized.
- You will immediately report any suspected data breach or unauthorized disclosure to your compliance officer and to us.
4. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with your organization's internal policies. You must not:
- Use the Service to engage in fraud, money laundering, or any illegal activity.
- Upload malicious code, viruses, or attempt to disrupt the Service.
- Attempt to reverse-engineer, decompile, or extract the source code of the App.
- Use the Service to harass, defame, or harm any individual.
- Bypass or attempt to bypass any security or authentication measures.
- Use the App while operating a vehicle or in any unsafe environment that may cause accidents.
5. Location Data and Device Permissions
The App may request access to your device's location, camera, microphone, contacts, and storage to enable features such as geo-tagging customer visits, scanning documents, and uploading KYC materials. You may revoke these permissions at any time through your device settings; however, doing so may limit certain App functionalities.
6. Intellectual Property
All intellectual property in the Service — including source code, designs, logos, trademarks (such as "TRIVARTHA"), graphics, and documentation — is owned by TRIVARTHA or its licensors. Nothing in these Terms transfers ownership to you. You may not use our trademarks without prior written permission.
7. Third-Party Services
The App may integrate with third-party services (for example, mapping, SMS, OCR, or biometric providers). Your use of such services is subject to the respective provider's terms. We are not responsible for the availability, accuracy, or content of any third-party service.
8. Subscription, Fees, and Billing
TRIVARTHA is offered on a free 30-day trial, followed by a subscription of your choice:
- Monthly plan: ₹199 / month, billed monthly.
- Yearly plan: ₹1,999 / year, billed once annually (saving you approximately two months vs. monthly).
Subscriptions are billed through the Google Play Store, Apple App Store, or our website, depending on how you installed the App. All fees are non-refundable except where required by law. You may cancel your subscription at any time; access will continue until the end of the current billing period.
Taxes (including GST) may be added to the displayed prices as required by Indian law. We reserve the right to change subscription prices with at least 30 days' prior notice; existing subscribers will be grandfathered for the remainder of their current billing period.
9. Updates and Modifications
We may release updates, patches, or new versions of the App to fix bugs, improve performance, or add features. You agree to install reasonable updates when prompted. We may also modify these Terms from time to time; the latest version will always be available within the App and at our website. Continued use after changes constitutes acceptance of the revised Terms.
10. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if:
- You breach these Terms or any applicable law.
- Your employer or sponsoring organization requests deactivation.
- We are required to do so by law, regulation, or court order.
- The Service is discontinued or undergoing maintenance.
Upon termination, your license to use the Service ends immediately, and you must delete the App from your device.
11. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
12. Limitation of Liability
To the maximum extent permitted by law, in no event shall TRIVARTHA, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service — even if advised of the possibility of such damages. Our total liability for any claim shall not exceed the total amount you paid us for the Service in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold harmless TRIVARTHA, its affiliates, and their respective officers from any claim, demand, loss, or expense arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts located in Gujarat, India. Both parties shall first attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days before initiating formal proceedings.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or removed to the minimum extent necessary so that the remaining provisions remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TRIVARTHA regarding the Service and supersede all prior communications and proposals.
